Commercial Law
What is commercial law? There are many areas of commercial law, including the sale of goods, secruity interests in personal property, negotiable instruments, and so forth. The Uniform Commercial Code (UCC) Governs many commercial transactions in our society. The idea behind the UCC was to establish a uniform set of rules for handling commerical transactions.
Does commercial law cover the sale of goods? Yes.
For Example If you have a contract for the sale of goods, the general contract law that applies is governed by the Uniform Commercial Code (UCC). Many states such as California typically apply the UCC for commercial transactions. The UCC frequently differs from the common law which is typically applied to contracts for services. Moreover, if both parties are merchants who deal in goods of the kind, we have special rules for them.

Goods: Formation of Contract
In order to have a valid contract we need a valid offer, acceptance, and consideration. A valid offer consists of an intent to 1) commit, 2) in certain and definite terms, and 3) to an identified offeree. For example if Seller sent buyer a letter offering to sell 10,000 tires, assorted sizes, delivery at a rate of 10,000 a month for 10 month, and included the price. We have a valid offer. We also need a valid acceptance. A manifestation of intent to enter into the Bargain. If Buyer sent a letter agreeing to purchase 10,000 tires, and the seller promised to sell 10,000. We have a valid offer, acceptance and consideration and thereby a valid contract for the sale of goods.
Damages: Commercial Law
Damages-would be expectation damages (put the non breaching party in the position as if the K has been fully performed), consequential damages (foreseability required), and incidental damages. He can cover & minus the cost of cover from the K price or choose not to cover and is entitled to damages at the time he learned of Breach-K Price. (2-700 series UCC) Buyer will not get specific performance since money damages will suffice and the chattel is not unique.
