Corporations Law: Shareholders Rights
The owners of a corporation are called shareholders. Shareholders own units of the corporation in the form of shares or stock. The individual shareholder’s liability is limited to the investment he makes in the corporation. A corporation may issue stock in the form of common stock or preferred stock. If a shareholder invests in common stock, he has preeminent rights to voting on critical corporation business matters, and in selection of the Board of Directors. If a shareholder invests in preferred stock, he takes preference in matters of dividends, repurchase rights, and stock issuance.
Shareholders may have additional rights depending on the terms of the shares of stock.
Under most circumstances Shareholders are required to make demand on the officers or directors prior to filing a derivative shareholder's lawsuit. Failure to make the demand unless futile could preclude the court granting the remedy requested.
